Terms of Use

These Terms of Use ("Terms") govern your use of Kultee Memory at kultee.com, including the web app, APIs, and MCP worker (the "Service"). By using the Service, you agree to these Terms.
If you do not agree, do not use the Service. Questions may be sent to hello@kultee.com.
Eligibility and Accounts
You must provide accurate account information and keep your login credentials and API keys secure. You are responsible for activity under your account.
Access may depend on your assigned role (for example: early-bird, client, or admin). We may limit features based on role, plan, and trial status.
Service Functionality
The Service lets you capture, store, and search thoughts, generate metadata, manage API keys, and use integrations such as MCP clients. We may add, remove, or modify features at any time.
AI Processing and Security
To provide core functionality, submitted text may be processed by a third-party AI provider. In the current implementation, this includes OpenAI for embeddings, metadata extraction, and semantic search.
On Personal and Pro plans, you must provide a valid OpenAI API key for these features. Enterprise plans use Kultee-managed OpenAI credentials.
Raw thought text is encrypted at rest, but no system is perfectly secure. You should avoid submitting information that you are not legally permitted to share.
API Keys and MCP Access
You may generate API keys for external tools. Treat keys as secrets. You are responsible for requests made with your keys until revoked. We may suspend or revoke keys if misuse, abuse, or security risk is detected.
If you store a personal OpenAI API key in the Service, you are responsible for supplying a valid key and for the costs and usage associated with that provider account.
Plans, Trials, and Billing
Paid features are offered through subscription plans. Checkout and billing are handled by Polar. Trial and plan limits may apply to captures, searches, and MCP usage. Plan terms and pricing may change over time.
Unless required by law, fees are non-refundable after the billing period starts.
Your Content
You retain ownership of the content you submit. You grant us a limited license to host, process, transmit, and display your content solely to operate, secure, and improve the Service.
You are responsible for ensuring you have rights to the content you submit and that it does not violate law or third-party rights.
Prohibited Use
You agree not to:
- use the Service for unlawful, harmful, abusive, or fraudulent activity
- attempt unauthorized access to accounts, systems, or data
- interfere with the Service, infrastructure, or security controls
- reverse engineer or misuse APIs beyond documented and permitted use
- share credentials or API keys in ways that compromise account security
Suspension and Termination
We may suspend or terminate access if these Terms are violated, if required by law, or if necessary to protect the Service or other users.
You may stop using the Service at any time and request account deletion from account settings.
Privacy
Our Privacy Policy explains how we collect and use data and is incorporated into these Terms.
Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the extent permitted by law.
Limitation of Liability
To the maximum extent permitted by law, Kultee Memory will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business interruption arising from or related to your use of the Service.
Changes to These Terms
We may update these Terms from time to time. Continued use of the Service after updates take effect means you accept the revised Terms.
Governing Law
These Terms are governed by the laws of South Africa, without regard to conflict-of-law principles, unless applicable consumer law requires otherwise.
